What is a EIN?

The Employer Identification Number, also known as the Federal
\nEmployer Identification Number or the Federal Tax Identification Number,
\n is a unique nine-digit number assigned by the Internal Revenue Service
\nto business entities operating in the United States for the purposes of
\nidentification.<\/span><\/span><\/span><\/p>\n

What is a LLC?
<\/p>\n

\nA limited liability company (LLC) is a business structure in the U.S.
\nthat protects its owners from personal responsibility for its debts or
\nliabilities. Limited liability<\/a>
\n companies are hybrid entities that combine the characteristics of a
\ncorporation with those of a partnership or sole proprietorship.\n<\/p>\n

\nWhile the limited liability feature is similar to that of a corporation,
\n the availability of flow-through taxation to the members of an LLC is a
\n feature of a partnership rather than an LLC.\n<\/p>\n

\nLimited liability companies are permitted under state statutes, and the
\nregulations governing them vary from state to state. LLC owners are
\ngenerally called members.\n<\/p>\n

\nMany states don’t restrict ownership, meaning anyone can be a member
\nincluding individuals, corporations, foreigners, foreign entities, and
\neven other LLCs. Some entities, though, cannot form LLCs, including
\nbanks and insurance companies.\u00a0<\/p>\n

\nAn LLC is a formal business arrangement that requires articles of organization<\/a>
\n to be filed with the state. An LLC is easier to set up than a
\ncorporation and provides more flexibility and protection for its
\ninvestors.\n<\/p>\n

LLCs may elect not to pay federal taxes directly. Instead, their profits
\n and losses are reported on the personal tax returns of the owners. The
\nLLC may choose a different classification, such as a corporation. <\/span><\/span>If fraud is detected or if a company fails to meet its legal and
\nreporting requirements, creditors may be able to go after the members.<\/p>\n

What is a DBA?

DBA stands for \u201cdoing business as.\u201d\u00a0It\u2019s also referred to as your business\u2019s assumed, trade or fictitious name.<\/span><\/p>\n<\/div>\n

Filing for a DBA allows you to conduct business under a name other than your own; your DBA is different from your name as the business owner, or\u00a0your business’s legal, registered name. That\u2019s because when you form a business, the legal name of the business defaults to the name of the person or entity that owns the business. That is, unless you register your business as a certain legal entity (more on that below), or if you rename and register your business with a DBA.<\/span><\/p>\n<\/div>\n

So, if Laura Smith wants to start a tech repair business, her business will operate under her own name, unless Laura chooses to register her DBA name as\u00a0\u201cLaura\u2019s Tech Repair Shop.\u201d After registering her DBA, Laura\u2019s full name isn\u2019t legally attached to her business\u2019s name.<\/span><\/p>\n<\/div>\n
